CALIFORNIA CONSUMER PRIVACY ACT CONSUMER PRIVACY NOTICE

Pursuant to the California Consumer Privacy Act of 2018 (“CCPA”), Evercore Inc. and its subsidiaries and affiliates (“Evercore,” “we” or “our”) are providing the following additional details regarding the categories of Personal Information that we have collected or disclosed within the preceding 12 months about California residents who are not employees, independent contractors, owners, directors, officers, or job applicants of Evercore, or emergency contacts or benefits beneficiaries of the foregoing.

(1)? We collected the following categories of Personal Information from individuals, as necessary to fulfill? our legal obligations and operational business purposes:

  1. ?Personal information, as defined in the California customer records law, such as contact information and financial information;
  2. Identifiers, such as name, online identifier, IP address, and government-issued identifier (e.g., Social Security number);
  3. Characteristics of protected classifications under California or federal law, such as sex, age, national origin, citizenship, immigration status and marital status;
  4. Commercial information, such as transaction information and history and securities trading information and history;
  5. Internet or network activity information, such as browsing history and interactions with our and other websites and systems including the ISI portal and Investor Relations webpage;
  6. Geolocation data, such as device location and IP location;
  7. Audio, electronic, visual and similar information, such as video recordings created in connection with our business activities;
  8. Professional or employment-related information, such as work history, prior employer, and information relating to references; and
  9. Inferences drawn from any of the Personal Information listed above to create a profile or summary about, for example, an individual’s preferences and characteristics.

We collected this Personal Information from individuals directly and from other categories of sources: publicly available databases, employers of individuals, our business partners, and our transaction and commission-sharing counterparties, when they share the information with us.

We used this Personal Information for the purposes of operating, managing, and maintaining our business, and accomplishing our business purposes and objectives, including, for example, using Personal Information to:

  • Fulfill the transactions or advice requested by individuals, individuals’ clients, or individuals’ service providers;
  • Provide individuals or individuals’ companies with products and services that may be of interest, such as wealth management and trust services;
  • Manage and maintain our relationships with industry contacts;
  • Conduct anti-money laundering, know-your-client, and other diligence on prospective and current clients;
  • Conduct due diligence on companies and employees of such companies that Evercore is considering underwriting, advising on restructuring, or engaging in other business with;
  • Send subscriptions, private placement memoranda, prospectuses, term sheets, merger agreements, restructuring plans and other research and information requested;
  • Refer potential clients or service providers to individuals;
  • Facilitate commission-sharing arrangements entered into with individuals, individuals’ employers, or individuals’ business partners;
  • Monitor personal investments to comply with SEC insider trading regulations;
  • Maintain and secure our facilities, equipment, systems, and infrastructure;
  • Undertake quality and safety assurance measures, protect the health and safety of our workforce and others, and conduct risk and security control and monitoring;
  • Conduct research, analytics, and data analysis to assist in administering, developing, and improving our products and services, the ISI research and offering, our website, and investor materials;
  • Perform identity verification, accounting, audit, and other internal functions, such as internal investigations;
  • Operate and manage IT and communications systems and facilities, allocate company assets and human resources, and undertake strategic planning and project management; and
  • Comply with law, legal process, internal policies and other requirements such as income tax deductions, monitoring, record-keeping and reporting obligations, and exercise and defend legal claims.

We disclosed the following Personal Information to our service providers and third parties (such as? our professional advisors, companies who process Personal Information on an individual’s employer’s behalf, credit reference agencies, financial intermediaries, other persons who have (or who are considering) an interest in Evercore or involvement in a transaction about which Evercore is advising, our auditors, providers of internet-connected devices and associated software, governmental authorities and third parties involved in court action, and our business partners), as necessary to fulfill our legal obligations and operational business purposes:

  1. Personal information, as defined in the California customer records law, such as contact information and financial information;

(3)? We have not “sold” Personal Information as defined by the CCPA.

For purposes of this CCPA Consumer Privacy Notice, “sold” or “sale” means the disclosure of Personal Information for monetary or other valuable consideration but does not include, for example, the transfer of Personal Information as an asset that is part of a merger, bankruptcy, or other disposition of all or any portion of our business.

If you are a California resident, you may request that we:

(1)? Disclose to you the following information covering the 12 months preceding your request:

  • The categories of Personal Information we collected about you and the categories of sources from which we collected such Personal Information;
  • The specific pieces of Personal Information we collected about you;
  • The business or commercial purpose for collecting (if applicable) Personal Information about you; and
  • The categories of Personal Information about you that we otherwise shared or disclosed, and the categories of third parties with whom we shared or to whom we disclosed such Personal Information (if applicable).

(2)? Delete Personal Information we collected from you.

We will respond to your request consistent with applicable law. Nonetheless, you have the right to be free from unlawful discrimination for exercising your rights under the CCPA.
